Neil MacRae

SVP, Corporate Development

Neil is a capital markets professional with 29 years’ experience in investor relations, commodities trading and corporate development within the global mining industry. Neil holds a Bachelor of Arts degree from the University of Calgary and started his career in 1994 with Mitsui & Co. (Canada) Ltd. Over the years, Neil has held various management and investor relations roles with companies such as First Majestic Silver Corp, Sherwood Copper Corp (merged with Capstone in 2008), Farallon Mining Ltd. (sold to Nyrstar in 2011), NovaGold Resources Inc. and Santacruz Silver Mining Ltd. 

Over the past five years, Neil has worked with Mars Investor Relations as a Vice President Corporate Development, and most recently was working with Brixton Metals Corp. as Senior Investor Relations and Corporate Communications from December 2022 to May 2023. Previously, he worked with both Fireweed Metals Ltd as Investor Relations Manager from March 2018 to January 2020 and also Aztec Minerals Corp. from September 2017 to July 2019.

Neil joined Goldsky Resources in 2025 following the merger of Mawson Finland and First Nordic Metals. 

Karilyn Farmer

Non-Executive Director
Appointed December 2025

Karilyn is a geologist, mining, construction and strategy professional with more than 30 years’ international experience across the resources sector. As a Non-Executive Director of Goldsky Resources, she brings deep technical acumen, governance experience and strategic insight to support the Company’s growth ambitions across the Nordics and beyond.

A Fellow of the Australasian Institute of Mining and Metallurgy (FAusIMM) and a JORC Competent Person, she has driven global success across energy, precious and base metals projects in over 25 countries, from early-stage exploration through to development and operations.

Karilyn has held senior technical and leadership roles with major mining companies and, most recently, spent nine years with McKinsey & Company, advising boards and executives on strategy, growth, capital allocation and transformation in the mining and metals industry. 

Karilyn Farmer is independent in relation to the Company and its management, as well as independent in relation to major shareholders.

Noora Ahola

Executive Director & MD, Nordics
Appointed December 2025

Noora is a Forestry Engineer with a Master’s Degree in Natural Resources and Landscape Management with over 25 years’ working experience. As MD, Nordics at Goldsky Resources, Noora is responsible for leading the Company’s operations, Government relations and stakeholder engagement across its Nordic portfolio.

She has extensive background not only in the mining sector but also in the Finnish environmental administration, where she applied environmental and land-use legislation to support nature protection and sustainable land management initiatives. Noora is also a Certified Board Member (CBM) and a Certified Chair of Board.

Most recently, Noora served as the CEO of Mawson Finland Limited. Prior to this, Noora held multiple key leadership roles, including Managing Director of Mawson Oy and CEO and Environmental Director of Mawson Gold Ltd., where she was responsible for implementing the strategy of the company in practice and oversaw environmental policy, permitting, monitoring, and research planning. She managed environmental risks, ensured ESG compliance, and integrated environmental criteria into exploration projects.

Noora is a Director in many influential Nordic boards such as the Finnish Mining Association (FinnMin), Lapland Chamber of Commerce and The Arctic Centre (Lapland University). She is also a director in a private exploration company holding multiple Uranium assets in Sweden.

Noora Ahola is not independent in relation to the Company and its management, but he is independent in relation to the major shareholders.

Peter Breese

Non-Executive Chairman
Appointed December 2025

Peter is a seasoned mining executive with more than 35 years’ leadership and operational experience in the global mining industry. He brings a strong track record of mine development, operational excellence and value creation to his role as Non-Executive Chairman of Goldsky Resources.

Peter previously served as CEO of Asanko Gold (now Galiano Gold), where he led the financing, construction and commissioning of the Asanko Gold Mine in Ghana. Before that, he was CEO of Mantra Resources, overseeing its growth into a leading uranium developer and its acquisition by ARMZ for approximately A$1 billion in 2011. Across these and other positions, Peter has built deep technical, operational and governance expertise that will support Goldsky Resources as it advances its portfolio of gold projects across the Nordics.

Darren Morcombe

Special Advisor

Darren is a Switzerland-based mining executive and investor with over 30 years’ international experience across mining finance, operations, and corporate leadership. He founded Foran Mining Corporation and has served as Executive Chairman and CEO, leading it through the development of the McIlvenna Bay project. Darren has remained a strategic advisor at Foran, playing a crucial role in navigating its growth and strategic direction. He is also a significant investor and advisory board member for Southern Cross Gold Consolidated Ltd., the flagship asset of which is the Sunday Creek Gold Project in Australia. Darren joined Goldsky Resources in 2025, prior to its merger with Mawson Finland Limited.

Russell Bradford

CEO & Executive Director

Russell is a metallurgist and seasoned mining executive with over 35 years’ project management and operational experience. He has experience at an executive level in both operations and project development for several Tier-1 mining companies, including Anglo American plc, BCL Limited, and LionOre Mining International Ltd. Most recently, Russell served as Managing Director of Aston Minerals Ltd., where he led the advancement of the Edleston Nickel Sulphide Project and played a pivotal role in the merger with Torque Metals Ltd. in 2025. Russell was also Senior Vice President at Asanko Gold Inc. and was General Manager at LionOre and Mantra Resources Limited. He holds a Higher National Diploma in Extraction Metallurgy from the University of Johannesburg and is a fellow of the Australasian Institute of Mining and Metallurgy (AusIMM).

Russell Bradford is not independent in relation to the Company and its management, but he is independent in relation to the major shareholders.

Rakesh Malhotra

CFO
Appointed May 2025

Mr. Malhotra brings nearly 30 years of diverse financial experience, including serving as CFO for several TSX-listed natural resource companies. He began his career with A.F. Ferguson & Co. (a correspondent firm of KPMG) before relocating to the Middle East, where he held senior finance roles within the highly successful International Bahwan Group of Companies.

From 2001 to 2005, he served as Vice President of Finance for a Toronto-based private group of service companies. He then spent over a decade (2006–2018) as Corporate Controller and Director for the Canadian subsidiary of U.S. multinational Diebold Nixdorf, Inc.

Mr. Malhotra is both a United States Certified Public Accountant (CPA) and a Canadian Chartered Professional Accountant (CPA, CA).

Jeff Couch

Board Director
Appointed September 2024

Based in London, England, Mr. Couch is a capital markets executive with deep experience in natural resources and emerging markets. He is CEO of Lydian Mining and Alufer Mining, both part of a global private equity firm managing several billions in assets. For 10 years he was Head of Investment Banking at BMO Capital Markets, Europe and he also held senior roles at Credit Suisse and Citigroup. He has substantial board experience on the Toronto and London Stock Exchanges and holds degrees in business and law.

Marc Legault

Board Director
Appointed February 2024

Marc Legault is a geologist and was also a licensed professional engineer with over 40 years’ experience in the gold and base metals industry including 34 years working with Agnico Eagle Mines Limited (“Agnico”), where he held various exploration, operations, and management positions until he retired from Agnico in 2022 as a Senior Vice President. Marc spent time working on the Barsele project as well as the Oijarvi project, both of which are now Goldsky Resources projects. His technical knowledge and experience with Agnico will be instrumental for the Company as it advances its flagship Barsele Project in Sweden in joint venture with Agnico. Marc joined First Nordic Metals Resources in 2024, prior to its merger with Mawson Finland Ltd.
